1. Agreement Overview
These Terms and Conditions ("Terms") govern your purchase, use, and participation in the Rifugio Founders Membership program ("Membership") operated by KC&E Adventures LLC ("KC&E," "Rifugio," "we," "us," or "our"). By purchasing a Membership, you ("Member," "you," or "your") agree to be bound by these Terms, our Privacy Policy, and any supplemental policies referenced herein.
2. Membership Tiers & Eligibility
2.1 Available Tiers

All rates reflect annual commitment pricing.
2.2 Eligibility
- Members must be at least 18 years of age to purchase a Membership.
- Family and Couple memberships are restricted to individuals residing at the same household address.
- Children included under a Family Membership must be dependents of the purchasing household.
- KC&E reserves the right to verify household eligibility at any time.
2.3 Founders Cohort
The Founders Membership is limited to fifty (50) founding families/members. KC&E reserves the right to manage waitlists and review applications on a rolling basis at its sole discretion.
3. Membership Term & Billing
3.1 Annual Commitment
All Memberships require a twelve (12) month annual commitment ("Membership Term"). Monthly billing is available within the annual agreement period.
3.2 Payment Processing
Payments are processed through Stripe, Inc. ("Stripe"). By purchasing a Membership, you also agree to Stripe's Terms of Service as applicable to payment processing. KC&E does not store your full payment card details.
3.3 Billing Cycle
- Monthly payments are charged on the same day each month as your initial purchase date.
- If a payment date falls on a day that does not exist in a given month (e.g., the 31st), billing will occur on the last day of that month.
3.4 Failed Payments
If a scheduled payment fails, KC&E will attempt to process payment two (2) additional times within ten (10) days. If payment remains unsuccessful, your Membership access may be suspended until the outstanding balance is resolved.
3.5 Price Changes
Founders Members are guaranteed their initial pricing for the duration of their first Membership Term. KC&E reserves the right to adjust pricing for subsequent renewal terms with at least sixty (60) days' written notice.
4. Membership Benefits & Access
4.1 Included Benefits
All Membership tiers include access to:
- Rifugio bike fleet (e-bikes, mountain bikes, gravel bikes, and kids' bikes), subject to availability
- Weekly movement classes including yoga, Pilates, and fitness programming
- Run Club and Bike Club participation
- Finnish heat sauna and infrared sauna with shower facilities
- Amenity bar (coffee, soft beverages, and hard beverages)
- Seasonal winter access including snowshoe use
- Member-only socials and community events
- 50% discount on private event space rentals
- Preferred pricing on bike service, ski service, and other Rifugio offerings
4.2 Family Membership Additional Benefits
- Priority access to after-school youth programs
- One (1) week of Rifugio Camp per child (five-day, half-day format)
4.3 Availability & Shared Access
All facilities, equipment, and fleet are shared among Members and are subject to availability on a first-come, first-served basis. KC&E does not guarantee exclusive or uninterrupted access to any specific equipment, facility, or time slot.
4.4 Seasonal Programming
Programming, classes, events, and offerings may evolve seasonally at KC&E's discretion. KC&E will make reasonable efforts to communicate material changes to programming in advance but is not obligated to maintain any specific schedule, class, or offering.
4.5 Facility Availability
Certain facilities (including saunas) may become available on a rolling basis. Target availability dates communicated by KC&E are estimates and not guaranteed.
4.6 Locations
Membership provides access to Rifugio's locations as designated by KC&E. Access to specific locations may be subject to additional terms or scheduling requirements.
5. Non-Transferability
Memberships are non-transferable. You may not assign, sell, lend, share, or transfer your Membership or any associated benefits to any person outside your designated membership tier (e.g., household members under a Family or Couple plan).
Membership credentials, access codes, or identification are for the registered Member's use only. Misuse may result in immediate termination without refund.
6. Member Conduct
Members agree to:
- Treat all staff, instructors, and fellow Members with respect
- Follow posted facility rules, safety guidelines, and staff instructions
- Use equipment and facilities responsibly and report any damage or safety concerns
- Supervise children at all times unless enrolled in a supervised program
- Comply with applicable laws and regulations while on Rifugio premises
KC&E reserves the right to suspend or terminate any Membership, without refund, for conduct that is abusive, harassing, unsafe, or otherwise disruptive to the Rifugio community, as determined at KC&E's sole discretion.
7. Equipment & Fleet Use
7.1 Assumption of Risk
Use of the bike fleet, sauna facilities, fitness equipment, snowshoes, and participation in all programming involves inherent risks of injury. By using Rifugio's equipment and facilities, you acknowledge and voluntarily assume these risks.
7.2 Equipment Care
Members are expected to use all equipment with reasonable care and in accordance with any posted instructions. Members may be held responsible for damage to equipment caused by misuse, negligence, or failure to follow posted guidelines.
7.3 Helmets & Safety
Helmet use is strongly recommended (and may be required by applicable law) for all cycling activities. Members are responsible for providing their own helmets unless otherwise specified.
8. Cancellation & Refund Policy
8.1 Cancellation by Member
- Members may cancel their Membership at any time by providing written notice to founders@kceadventures.com.
- Cancellation during the Membership Term does not entitle the Member to a refund of payments already made.
- The Membership will remain active through the end of the current billing period following cancellation notice.
8.2 Early Termination
If a Member wishes to terminate before the end of the annual commitment, an early termination fee may apply. The specific fee structure will be detailed in your Membership agreement at the time of purchase.
8.3 Cancellation by KC&E
KC&E reserves the right to cancel any Membership at its sole discretion, including but not limited to cases of violation of these Terms or Member conduct issues. In such cases, KC&E will issue a pro-rata refund for any prepaid, unused portion of the Membership Term.
8.4 Cooling-Off Period
Where required by applicable law, Members may cancel within the statutory cooling-off period following purchase for a full refund.
9. Assumption of Risk & Waiver of Liability
Participation in Rifugio activities—including but not limited to cycling, fitness classes, yoga, sauna use, running, snowshoeing, and youth programs—involves inherent risks of physical injury, illness, or property damage.
To the maximum extent permitted by law, you agree to release, waive, and hold harmless KC&E Adventures LLC, its officers, directors, employees, agents, instructors, and affiliates from any and all claims, liabilities, damages, costs, or expenses arising out of or related to your use of Rifugio facilities, equipment, or programming.
This waiver does not apply to claims arising from KC&E's gross negligence or willful misconduct.
KC&E is not liable for lost, stolen, or damaged personal property on Rifugio premises.
10. Children & Minors
Children under 18 may access Rifugio facilities only under a Family Membership and must be supervised by an adult household member at all times, except when participating in a supervised KC&E program (e.g., Rifugio Camp, after-school programs).
By enrolling children in Rifugio programs, the purchasing Member represents that they are the child's parent or legal guardian and consents to the child's participation.
KC&E reserves the right to establish age-specific rules and restrictions for safety purposes.
11. Amenity Bar & Alcohol Service
Hard beverages (alcoholic drinks) served at the amenity bar are available only to Members who are 21 years of age or older. KC&E reserves the right to refuse service at its discretion and in compliance with applicable liquor licensing laws.
12. Intellectual Property
"Rifugio," "KC&E Adventures," all associated logos, branding, and content on the Rifugio website and materials are the intellectual property of KC&E Adventures LLC. Members may not reproduce, distribute, or commercially use any KC&E intellectual property without prior written consent.
13. Privacy & Data
KC&E collects and processes personal information in accordance with our Privacy Policy. Payment data is processed by Stripe and is subject to Stripe's privacy practices.
By becoming a Member, you consent to KC&E communicating with you via email regarding your Membership, programming, events, and community updates. You may opt out of non-transactional communications at any time.
14. Force Majeure
KC&E shall not be liable for any failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government orders, utility failures, or acts of God. In such events, KC&E will make commercially reasonable efforts to resume services and may, at its discretion, offer extensions or credits.
15. Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to conflict of law principles.
15.2 Informal Resolution
Before initiating any formal dispute, Members agree to first contact KC&E at founders@kceadventures.com and attempt to resolve the matter informally within thirty (30) days.
15.3 Arbitration
Any dispute not resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs.
15.4 Class Action Waiver
To the maximum extent permitted by law, disputes shall be resolved on an individual basis. Members waive any right to participate in a class action, class arbitration, or representative action.
16. Modifications to Terms
KC&E reserves the right to modify these Terms at any time. Material changes will be communicated to Members via email at least thirty (30) days before they take effect. Continued use of the Membership after such notice constitutes acceptance of the modified Terms.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy and any supplemental agreements referenced herein, constitute the entire agreement between you and KC&E Adventures LLC regarding the Rifugio Founders Membership and supersede all prior agreements or understandings.
